Independent Management Advisory Services

Strategic, data-driven advice for management teams navigating private equity and corporate transactions.

Our Role

We work exclusively with management - not investors, corporate advisors or banks - to ensure leadership teams are informed, aligned, and protected in private capital transactions.

Our management advisory services span mergers and acquisitions, divestments, growth capital raises, restructures, and re-incentivisations.

By combining financial analysis, corporate governance, and negotiation strategy, we help executives make clear, confident decisions.

We assess structure, incentives, and protections across equity rollover, valuation, and performance metrics - integrating risk management, taxation, and human capital considerations throughout.

Our Approach

Our methodology blends strategic management consulting with the technical disciplines of corporate finance and accounting. We bring analytical rigour to every phase - from information gathering and scenario modelling to due diligence and final negotiation.

Using proprietary market benchmarks from over 3,000 term sheets and 750+ global transactions, we give management teams clear market context and leverage in negotiations.

We work collaboratively with lawyers, tax advisers, corporate advisors and investment banks, ensuring that every aspect of the management deal is structured for sustainability, alignment, and governance integrity.
